These Terms and Conditions ("Terms") govern access to and use of the website, services, consultation booking systems, contact forms, communication channels, and all related bookkeeping and consulting services offered by Ferrara Bookkeeping and Consulting (collectively, the "Services").
By accessing our website, submitting a contact form, booking a consultation, or engaging our Services, you agree to be legally bound by these Terms.

2. Definitions
"Company" refers to Ferrara Bookkeeping and Consulting.
"Client" refers to any individual or business entity that engages Ferrara Bookkeeping and Consulting for bookkeeping, payroll, cleanup, setup, training, 1099 filing, consulting, or related services.
"User" refers to any individual accessing or using the Company's website or services.
"Services" include all bookkeeping, payroll processing, book cleanup and catch-up, account reconciliation, QuickBooks Online setup, QuickBooks training, 1099 filing, business consulting, free consultations, and any related services provided by Ferrara Bookkeeping and Consulting.
"Agreement" refers to the service proposal or engagement letter entered into between the Company and a Client upon acceptance of a service proposal.
"QuickBooks Online" refers to the cloud-based accounting platform provided by Intuit Inc., through which all Services are delivered. QuickBooks and QuickBooks Online are registered trademarks of Intuit Inc. Ferrara Bookkeeping and Consulting is an independent firm not affiliated with or employed by Intuit.
3. Acceptance of Terms
By accessing our website, booking a free consultation, submitting a contact form, or engaging our Services, you acknowledge that you:
Have read and understood these Terms and Conditions
Agree to be legally bound by them
Have the legal authority to enter into these Terms on behalf of yourself or your business
Are at least 18 years of age
If you do not agree to these Terms, you must not access our website or engage our Services.
4. Service Description
Ferrara Bookkeeping and Consulting provides professional bookkeeping and consulting services for small businesses delivered through QuickBooks Online, including:
Monthly bookkeeping services
Book cleanup and catch-up services
Account reconciliation services
QuickBooks payroll services
QuickBooks Online setup services
QuickBooks Online training services
1099-NEC filing services
Small business financial consulting
All Services are delivered by Ina Ferrara, a certified QuickBooks Online Advanced ProAdvisor and QuickBooks Payroll certified specialist. Services are available to small businesses locally in Las Vegas, NV and remotely across all 50 states. All Services are available in English and Spanish.
Service scope, deliverables, pricing, and terms are outlined in a written service proposal provided to each Client prior to the commencement of any paid engagement.
5. Free Consultation Terms
Ferrara Bookkeeping and Consulting offers a complimentary 30-minute clarity call to prospective clients. The free consultation:
Is provided at no cost with no obligation to purchase any services
Does not constitute a formal bookkeeping engagement or professional services agreement
Does not create a client-bookkeeper relationship until a written service proposal has been accepted
Is subject to availability and may be rescheduled or cancelled by either party with reasonable notice
Does not include the preparation, review, or delivery of any financial records, reports, or tax documents
Information shared during a free consultation is treated as confidential in accordance with our Privacy Policy.
6. Engagement, Billing & Payment Terms
A. Service Proposals
All paid engagements begin with a written service proposal outlining the scope of services, deliverables, pricing, and payment terms. Engagement commences upon the Client's written acceptance of the service proposal.
B. Fees & Pricing
Monthly bookkeeping and ongoing services are billed on a monthly basis. Pricing is based on transaction volume, number of accounts, number of employees, and services included in the engagement, as outlined in the service proposal.
One-time services — including QuickBooks Online setup, book cleanup, QuickBooks training, and 1099 filing — are billed at a fixed fee agreed upon in the service proposal prior to commencement of work.
Fees are subject to adjustment with reasonable advance notice to the Client.
C. Payment Authorization
By accepting a service proposal and providing payment information, the Client authorizes Ferrara Bookkeeping and Consulting to charge all applicable fees as outlined in the service proposal.
D. Payment Terms
Payment is due on the date specified in the service proposal. Failure to submit payment by the due date may result in suspension of services until the outstanding balance is resolved.
E. Late Payments
Unpaid balances outstanding beyond 15 days from the due date may result in:
Suspension of bookkeeping services
Late fees as specified in the service proposal
Termination of the engagement
F. Refund Policy
All fees paid for services rendered are non-refundable. Prepaid fees for services not yet rendered may be refunded at the sole discretion of Ferrara Bookkeeping and Consulting upon written request.
7. Month-to-Month Service Terms
All monthly bookkeeping and ongoing service engagements are provided on a month-to-month basis with no long-term contracts required. Either party may terminate an ongoing monthly engagement with written notice as specified in the service proposal. Upon termination:
All work completed through the termination date will be billed at the agreed monthly rate
All Client financial records and QuickBooks access will be returned or transferred to the Client promptly
Outstanding balances are due and payable upon termination
8. Client Responsibilities
To enable Ferrara Bookkeeping and Consulting to deliver accurate and timely bookkeeping services, the Client agrees to:
Provide complete, accurate, and timely access to all financial records, bank statements, and documents required to perform the Services
Maintain active QuickBooks Online access and provide bookkeeper access as required
Respond promptly to requests for information, clarification, or documentation
Notify Ferrara Bookkeeping and Consulting promptly of any changes to business structure, banking relationships, payroll obligations, or financial circumstances that may affect the Services
Review all delivered financial reports and notify Ferrara Bookkeeping and Consulting of any discrepancies within a reasonable time period
Ensure all information provided to Ferrara Bookkeeping and Consulting is accurate, complete, and not misleading
Ferrara Bookkeeping and Consulting is not responsible for errors or inaccuracies in financial records that result from incomplete, inaccurate, or untimely information provided by the Client.
9. Scope of Services & Professional Limitations
Ferrara Bookkeeping and Consulting provides professional bookkeeping and financial consulting services. The following limitations apply to all engagements:
Ferrara Bookkeeping and Consulting is not a licensed CPA, tax preparer, or tax advisor and does not provide tax preparation, tax filing, or tax advice services
Financial consulting services are advisory in nature and do not constitute legal, tax, investment, or accounting advice
Clients are solely responsible for all business decisions made in reliance on financial records, reports, or consulting guidance provided by Ferrara Bookkeeping and Consulting
Clients are encouraged to work with a licensed CPA or tax professional for tax preparation, tax planning, and tax filing services
Ferrara Bookkeeping and Consulting will maintain books in a tax-ready condition to support the Client's CPA or tax professional but does not assume responsibility for tax filing outcomes
10. Confidentiality
Ferrara Bookkeeping and Consulting maintains strict confidentiality of all Client financial information, business records, and personal data obtained in connection with the Services.
The Company agrees to:
Keep all Client financial data strictly confidential
Access Client financial records only through secure, encrypted QuickBooks Online platforms
Never share, sell, or disclose Client information to unauthorized third parties
Implement reasonable security measures to protect Client data from unauthorized access
The Client agrees to maintain confidentiality of any proprietary methods, systems, pricing, or processes disclosed by Ferrara Bookkeeping and Consulting in connection with the Services.
11. Acceptable Use of Website & Services
Users of the Ferrara Bookkeeping and Consulting website and Services agree not to engage in any of the following prohibited activities:
Illegal conduct of any kind
Fraud, misrepresentation, or submission of false information
Harassment, abuse, or threatening communications
Unauthorized data collection or scraping of website content
Attempting to circumvent website security systems
Submitting spam or unsolicited commercial communications
Impersonating any individual or entity
Using the website or Services in any manner that violates applicable federal, state, or local law
Violation of these terms may result in immediate termination of access to the website and Services.
12. Intellectual Property
All website content, branding, trademarks, service methodologies, written materials, blog content, and related intellectual property are the exclusive property of Ferrara Bookkeeping and Consulting.
Users receive a limited, non-exclusive, non-transferable license to access and use the website for personal and business inquiry purposes only. SMS Communication Consent

Non-Marketing Messages If you opt in to non-marketing communications, you may receive transactional and service-related messages including appointment reminders, consultation confirmations, responses to inquiries, service updates, and onboarding communications related to your bookkeeping engagement.
Marketing & Promotional Messages If you separately opt in to marketing communications, you may receive promotional messages including information about bookkeeping services, free consultations, and updates from Ferrara Bookkeeping and Consulting.
Message frequency may vary depending on your interaction with our services. Message and data rates may apply depending on your mobile carrier.
Opt-Out Instructions To stop receiving SMS messages, reply STOP to any text message. You will receive a confirmation that you have been unsubscribed and will no longer receive SMS messages unless you opt back in. To resume receiving messages, reply START at any time.

15. Third-Party Platforms & Tools
Ferrara Bookkeeping and Consulting delivers Services through third-party platforms including QuickBooks Online, scheduling tools, email service providers, and payment processors. The Company is not liable for outages, disruptions, data losses, or service failures caused by third-party platform providers.
Clients are responsible for maintaining their own QuickBooks Online subscriptions and ensuring continued access to the platform throughout the engagement.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Ferrara Bookkeeping and Consulting shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the Services, including but not limited to:
Loss of revenue or profits
Business interruption
Financial losses resulting from errors in Client-provided information
Tax penalties or assessments resulting from incomplete or inaccurate Client records
Third-party platform outages or disruptions
Reliance on financial reports or consulting guidance for business decisions
Total liability of Ferrara Bookkeeping and Consulting for any claim arising from the Services shall not exceed the total fees paid by the Client to Ferrara Bookkeeping and Consulting in the three months preceding the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless Ferrara Bookkeeping and Consulting, its owner, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising from:
Your misuse of the website or Services
Your violation of these Terms and Conditions
Your provision of inaccurate, incomplete, or misleading financial information
Your violation of any applicable federal, state, or local law or regulation
Any third-party claims arising from your use of the Services
18. Termination
Ferrara Bookkeeping and Consulting reserves the right to suspend or terminate access to the website or Services for:
Violation of these Terms and Conditions
Non-payment of outstanding fees
Fraudulent or abusive conduct
Provision of materially false or misleading information
Any conduct that exposes the Company to legal or regulatory liability
Clients may terminate ongoing monthly engagements in accordance with the termination provisions of their service proposal.
19. Governing Law & Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Clark County, Nevada.
20. Arbitration & Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association.
Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise
Class action claims are not permitted
The arbitrator's decision shall be final and binding on both parties
21. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
22. Entire Agreement
These Terms and Conditions, together with the Privacy Policy and any written service proposal or engagement letter accepted by the Client, constitute the entire agreement between the parties with respect to the Services and supersede all prior agreements, representations, and understandings.
23. Policy Updates
Ferrara Bookkeeping and Consulting reserves the right to modify these Terms and Conditions at any time. Updates will be posted on this page with a revised effective date. Continued use of our website or Services following the posting of any update constitutes acceptance of the revised Terms.
